BACKGROUND AND ANALYSIS

The Town of Cutler Bay (the "Town") adopted an amended Interlocal Agreement between the Town and other Municipalities to establish the Green Corridor Property Assessment Clean Energy District (the "District") on July 24, 2012 via Resolution No. 12-22. The District is the first PACE program in the country that created a partnership of like-minded municipalities and private investors to ensure the longevity of the PACE model. The District originally consisted of the following municipalities; Cutler Bay, Coral Gables, Palmetto Bay, Pinecrest, Miami, Miami Shores, and South Miami located in Miami-Dade County.

The Interlocal Agreement states that "The District shall be governed by a governing board which shall be comprised of property owners or elected officials within the jurisdictional boundaries of the Parties to this Interlocal Agreement and one at large property owner from within the District" (Attachment A, Page 5). The Town later adopted Resolution No. 12-43 providing that the Mayor shall represent the Town on the District Board, unless the Mayor determines otherwise, which in such case the Town Council shall appoint a member of the Council to the Board (Attachment B).
