A RESOLUTION OF THE MAYOR AND TOWN COUNCIL OF THE TOWN OF CUTLER BAY, FLORIDA AUTHORIZING AND APPROVING AMENDMENT NO. 2 TO THE COMPREHENSIVE LANDSCAPE/GROUNDS MAINTENANCE SERVICES AGREEMENT BETWEEN THE TOWN AND VALLEYCREST LANDSCAPE MAINTENANCE, INC. TO REFLECT A NAME CHANGE TO BRIGHTVIEW LANDSCAPING SERVICES INC.; AUTHORIZING EXECUTION OF THE AMENDMENT; AND PROVIDING FOR AN EFFECTIVE DATE.

BACKGROUND AND ANALYSIS
On March 20, 2013, the Town Council via Resolution Number 13-25, approved a Comprehensive Landscape/Grounds Maintenance of the Town Parks Agreement with ValleyCrest Landscape Maintenance Inc. (the “Contractor”), for services outlined in Request for Proposals (RFP) number 13-01. Subsequently thereafter, the Town Council approved Amendment # 1 to the Comprehensive Landscape/Grounds Maintenance of the Town Parks Agreement, for additional services to Blue Heron Park.
On June 1, 2016 the Contractor requested to exercise the Assignment and Amendment Clause (see Attachment “A”), as stated in the RFP number 13-01, Section 1.10, which reads as follows:
SECTION 1.10- ASSIGNMENT AND AMENDMENT:
“No assignment by the Contractor of this Agreement or any part of it, or any monies due or to become due, shall be made, nor shall the Contractor hire a subcontractor to perform its duties under this Agreement without prior written approval of the Town. This Agreement may only be amended, by the Parties, with the same formalities as this Agreement.”
Based on Town’s staff review, we are confident that the proposed request for name change to BrightView Landscape Maintenance Inc., will not affect the level of service(s) and the contractor will continue to meet the same levels of services identified in Section 1.1.1 of the Comprehensive Landscape/Grounds Maintenance of the Town Parks Agreement (RFP Number 13-01).
RECOMMENDATION
We recommend that the attached resolution be adopted, authorizing the Town Manager to execute an Amendment to the Comprehensive Landscape/Grounds Maintenance of the Town Parks Agreement, to reflect reflecting a name change from ValleyCrest Landscape Maintenance Inc. to BrightView Landscape Services, Inc.,
